Terms of Service

Please read these Terms of Service (“Terms”) carefully before using AgentManager (“the App”). By installing or using the App, you agree to be bound by these Terms.

1. License Grant

Subject to your compliance with these Terms and the payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on macOS devices that you own or control, solely for your personal or internal business purposes.

2. Restrictions

You may not:

Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App, except to the extent permitted by applicable law
Sell, sublicense, rent, lease, or transfer the App or your license to any third party
Remove or alter any proprietary notices or labels on the App
Use the App in any manner that violates applicable laws or regulations

3. Subscription, Payment & Refunds

AgentManager is sold through Freemius, which acts as the Merchant of Record. Freemius is the legal seller and payment processor for all transactions. All billing, payment, and refund matters are governed by Freemius’ Terms of Service.

Subscription fees are charged on the billing cycle you selected. Subscriptions renew automatically unless cancelled before the renewal date.

4. Free Trial

We may offer a free trial period. No payment method is required to start a trial. At the end of the trial period, continued use of the App requires a paid subscription.

5. Intellectual Property

The App, including all software, graphics, and documentation, is owned by us and protected by copyright, trade secret, and other intellectual property laws. These Terms do not transfer any ownership rights to you.

6. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

We may suspend or terminate your license if you materially breach these Terms. You may terminate your subscription at any time by cancelling through Freemius. Upon termination, you must stop using the App and delete all copies.

9. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

10. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted, indicated by an updated “Last updated” date. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.
